A Swedish-Dutch joint venture saw synergy advantages in acquiring a Danish holding with offices in the United States (land transportation and shipping), the UK (Roro machinery) and Germany.
Nederhof represented the Buyer in the negotiations with the Seller’s Danish representative. Two of the Seller’s shareholders/natural persons would remain on board after the transaction, while two others would be resigning. This construction called for some flexibility in the negotiations. Nederhof advised the Buyer, negotiated briskly and succeeded in completing the complex deal simultaneously in four different legal systems.
