Nederhof counselled the shareholders of one of the leading advisors on brand identity and branding. The Buyer was keen to bring in the Seller as an affiliate of its platform, expecting major cross-selling opportunities, as the Seller advises many major Dutch and foreign brands.
The Seller had all its ducks in a row, and was well prepared for a smooth transaction. The Buyer soon withdrew its unrealistic opening offer and accepted the well-documented counter-offer, after Nederhof had presented sound arguments.
Nederhof oversaw the due diligence and the proceedings between the M&A lawyers of both parties. The transaction was finalised within three months. On the last day of the year Nederhof got to raise its glass not once but twice: once in the morning when the deal was signed at the civil law notary’s office, and once in the evening to ring in the new year.
