Nederhof counselled the shareholders of one of the leading advisors on brand identity and branding. The Buyer was keen to bring in the Seller as an affiliate of its platform, expecting major cross-selling opportunities, as the Seller advises many major Dutch and foreign brands.
\nThe Seller had all its ducks in a row, and was well prepared for a smooth transaction. The Buyer soon withdrew its unrealistic opening offer and accepted the well-documented counter-offer, after Nederhof had presented sound arguments.
\nNederhof oversaw the due diligence and the proceedings between the M&A lawyers of both parties. The transaction was finalised within three months.
